1. Election of Chair of the Board for a Term of One Year

Mrs. Reynolds calls for the nominations for Chair for a term of one year. The new
Chair is declared elected for one year until December 2002. The new Chair then
Presides.

5. Acceptance of $1 Million Donation from the A.E. Finley Foundation for the
